From our consideration:
In compliance with the provisions of Article 99 and paragraph 2% of Article 10 of the Law
NO 18.045 of the Securities Market, as well as the provisions of letter A. a) of Section II of the
General Standard N% 486 and in numeral 5.1.7 of Section IV of the Character Standard
General N% 30, both of the Commission for the Financial Market (the “CMF”), CGE Transmisión S.A.
(the “Company”) communicates to you, as an Essential Fact, the following:
As of today, January 25, 2023, the Company placed 4,000 bonds
dematerialized and bearer Series A (“Series A Bonds”) in the local market, charged to the line
to 10 years, registered in the Securities Registry of the CMF under N% 1,135 dated December 27
of 2022, according to the characteristics indicated below:
Series A bonds: Mnemonic code “BTCGE-A”, issued under the
bonds NY 1,135, for a total amount of UF 2,000,000 (two million Units of
Fomento), due on November 15, 2032. The average interest rate
of placement was UF + 3.34% per year.
The proceeds from the placement of the Series A Bonds will be allocated in approximately
80% to the refinancing of liabilities of the Issuer and 20% to the financing of investments of the
Issuer and other general corporate expenses.
Banco Santander-Chile and Scotia Corredora de Bolsa Chile acted as placement agents
