REF.: Summons Extraordinary Shareholders’ Meeting.
From our consideration:
In accordance with the provisions of article 9″ and paragraph 2″ of the article
10″ of Law No. 18,045 on the Securities Market and other regulations in force, acting
duly authorized to do so, I inform as an essential fact of CGE GAS NATURAL S.A., that in
regular meeting of the Board of Directors held on March 23, 2023, it was agreed to convene a Board of Directors
Extraordinary Shareholders of the Company for April 20, 2023, at 10:15 a.m., in the
Aconcagua Room, of the Intercontinental Hotel located on Av. Vitacura 2885, Las Condes, with the object
to submit to the consideration of the shareholders the following matters:
1. To pronounce on the modification of the company name, by means of the modification of the
Bylaws.
2. Adopt such other agreements as may be necessary to implement the decisions taken by the
Board and in particular the legalization of the reform of the bylaws and the appointment
of agents for such purposes.
The holders of the shares that are registered in
the Register of Shareholders of the Company five working days in advance of the date of
celebration of the Meeting.
The classification of authorisations, if applicable, shall be made on the same day fixed for the conclusion of the
Meeting, in the place designated for the meeting. The final decision, if any, shall be taken at the
same Board.
Finally, I inform you that we will send to that Commission the corresponding notices of summons and
