Ref.: Cesce Chile Aseguradora S.A. – Communicates Relevant Fact
From our consideration:
By means of the present and in accordance with the provisions of Article 63 of Law N*18.046,
of Corporations, and in Circulars N*”662 and N*991, we inform you of the following
Relevant Fact regarding Cesce Chile Aseguradora S.A.
That, at the Ordinary Meeting of the Board of Directors of the Company, dated May 19, 2022, it was agreed
call for an Extraordinary Shareholders’ Meeting to be held on May 31, 2022, at 11:00
hours, at the offices of the Society, located at Avenida Apoquindo 4001, office 201, Las
Condes, Santiago, which will have as its object to know and pronounce on the following matters:
1. Capital increase of the Company through the issuance of payment shares in the form and
conditions to be agreed by the Board;
2. Modify the composition of the Board of Directors of the Company, increasing the number of
Directors from 5 to 6 members, replacing the twelfth article of the statutes
social media, and proceed to the election of the Board of Directors;
3. Agree on the amendments to the bylaws corresponding to the capital increase
agreed and to the formation of the Board of Directors; and

4. Adopt the other necessary agreements to carry out the resolution of the Board.
It should be borne in mind that, because confirmation was available in advance of
attendance at the Meeting of 100% of the issued shares with voting rights, were not published
notices for its convocation, omitting the formalities for its summons, as
established in Article 60 of Law No. 18,046, on Corporations.
Likewise, in accordance with the provisions of Article 64 of Law 18,046, in the
General Character 435 and in Circular Letter 1141, of the Commission for the Financial Market,
for the development of this Meeting, remote access has been arranged for shareholders who
so they prefer, through the technological platform “Google Meet”, through which they
may exercise their rights to speak and vote.
