Ref. Extraordinary Shareholders’ Meeting.
Dear Sir or Madam:
Duly authorized by the board of directors of the company Centella Transmisión S.A., company
anonymous registered in the Special Register of Reporting Entities under Number 541 (the
“Company”), and by virtue of the provisions of article 9″ and the second paragraph of article
109 of Law No. 18,045, and numeral 2.2 and 2.3 of Section II of the Character Norm
General No 30 of the Commission for the Financial Market, I hereby come
in reporting the following essential fact regarding the Company:
The Company’s only two shareholders, Ferrovial Power Infrastructure Chile SpA and
Ferrovial Transco Chile III SpA, expressed to the Company the intention to hold a
extraordinary shareholders’ meeting on April 25, 2023, at the Company’s offices
located at Avenida Andrés Bello 2711, office 1801B, Las Condes, from 16:00
hours, respectively, confirming their attendance. In view of the foregoing, and by virtue of the
provided in Article 60 of Law 18,046 on Corporations, the Company has
Determined not to proceed with the formalities of summons to the extraordinary meeting of
Shareholders.
Notwithstanding the foregoing, by this act we inform the Commission for the Market
Financial:
1.La extraordinary shareholders’ meeting of the Company on April 25
from 2023 at 4:00 p.m., at the Company’s offices located on Avenida Andrés
Bello 2711, office 1801B, Las Condes, in order to deal with the following matters:
a) To know and pronounce on the increase of the capital of the Company in the amount
of $8,800,000,000.
b) Reform the statutes of the Company in the event that the increase of
Proposed capital.
c) The adoption of any agreement to carry out the aforementioned.
