Dear Sir or Madam,
By virtue of the provisions of article 9% and second paragraph of article 100, both of Law 18,045, on Market
of Securities, in accordance with the provisions of Law 18,046, on Corporations, and the General Rule NO
30 of the Commission, the undersigned, duly empowered for such purpose, hereby informs you as a Material Fact of
Celeo Redes Operación Chile S.A. (hereinafter, “the Company”), regarding the Board Meeting held with the Company
date, that is:
At the Board meeting held on April 27 of this year, the Board of Directors of the Company agreed to summon the Board of Directors.
Ordinary Shareholders to be held on April 28, 2023, at 1:30 p.m., in order to submit for consideration
of the shareholders the following matters:
Approval of the Annual Report, Balance Sheet and Income Statement ended on December 31, 2022;
Approval of the Report of the External Auditors;
Appointment of External Auditors for the financial year 2023;

4. Distribution of profits and distribution of dividends for the year 2022;
5. Election of the Board of Directors of the Company;
6. Operations with related entities referred to in Articles 44 and 89 of the Law on Corporations; and
7
Designation of the newspaper in which the publications ordered by the Law of Corporations must be made.
Finally, and in accordance with the provisions of Article 76 of Law 18,046, on Corporations, and according to Norma
of General Character N*332 of March 21, 2012, issued by the then Superintendency of Securities and Insurance
(now CMF), the Company’s Financial Statements as of December 31, 2022, with its Explanatory Notes and Report of the
External Auditors are published on the Company’s website www.celeogroup.com.
