In compliance with the provisions of Article 9 and second paragraph of Article 10 of Law No. 18,045, Section II No. 1 literal 2.2.A of General Standard No. 30 of the Commission for the Financial Market (“CMF”), being specially empowered to do so, I inform you of the following supplement to the ESSENTIAL FACT dated April 28, 2022 (the “Essential Fact”) with respect to Compañía Cervecerías Unidas S.A. (” CCU”) and its businesses:
As reported in the Essential Fact, CCU’s subsidiary, Compañía Cervecerías Unidas Argentina S.A. (“CCU-A”) acquired 49% ownership of Aguas Danone de Argentina S.A. (the “Transaction”). We note that (1) the Transaction included stock purchases and capital contributions totaling US$28.8 million, subject to customary cash and debt adjustments in transactions of this nature; (ii) both the purchase and sale of shares and the capital contribution are made with funds generated by the operation of CCU-A; and (iii) shareholder agreements include, among others, purchase and sale option systems between partners, corporate governance clauses and others customary for this type of contract.
As of this date, it is not possible to estimate the definitive financial effects that the Transaction may have on CCU’s assets, liabilities or results, which will be timely and duly reported to the CMF and the market in general.
