From our consideration:
In compliance with the provisions of Article 9 and the second paragraph of Article 10 of Law No. 18,045, on the Securities Market and General Rule No. 30 of that commission, being duly authorized, I inform, as an essential fact, that the Board of Directors of Carozzi S.A., in a meeting held on November 21 and within a succession process at the level of corporate governance, has agreed as follows:
1. To accept the resignation from the position of General Manager of Mr. José Juan Llugany Rigo-Righi, as of January 1, 2023, who will maintain his position as director of our only subsidiary Empresas Carozzi S.A.
2. To appoint Mr. Sebastián García Tagle as General Manager of the company, as of January 1, 2023.
The Board of Directors, in the same session, agreed to thank Mr. José Juan Llugany Rigo-Righi for his excellent management and to congratulate Mr. Sebastián García Tagle on his appointment.
