PRESENT
From our consideration:
By virtue of the provisions of Articles 9* and 10 of Law N* 18,045 on the Securities Market, General Rule N*
284 and N* 30 of the Superintendency of Securities and Insurance today Financial Market Commission, I proceed to report, with character
Essential Fact, that on April 1, 2022, in Extraordinary Session, the Board of Directors of Sociedad Buses Metropolitana S.A. agreed
to call the Ordinary Shareholders’ Meeting, for April 22, 2022, at 10:00 a.m. in the meeting room of the offices
numbers 1203 and 1204 located at Calle Apoquindo 6550, Piso 12, commune of Las Condes, city of Santiago, in order to pronounce
on the following subjects:
1.- Annual Report.
2.- Balance sheet corresponding to the period corresponding to December 31, 2021 and Financial Statements.
3.- Report of the External Auditors.
4.- Appointment of External Auditors.
5.- Remuneration of the Board of Directors.
6.- Dividend Situation.
7.- Report on transactions with companies or related persons, according to the provisions of article 44 of the Law of
Corporations;
8.- Other matters of the knowledge of the Board.
9.- Adopt all the necessary agreements for the compliance, formalization and legalization of the resolutions of the Board.
The directors, unanimously, approve the matters to be dealt with that must be included in the summons for the General Meeting.
