The following information as an essential fact:
At the Board meeting held on May 27, 2022, it was agreed to summon the Extraordinary Meeting of the
Shareholders of the Company, which will take place on June 29, 2022 at 10:00
hours in the office of the Notary of Santiago, Mr. Cosme Gomila Gatica, located in Carmencita
N*20, commune of Las Condes, in order to:
1. To decide on the capital increase of the Company in the amount of $1,384,000,000
(one thousand three hundred and eighty-four million pesos), or in the sum that finally
as determined by the Board;
2. If the previous proposal is adopted, amend Article Five and the
transitory of the Bylaws in what is pertinent.
3. To decide on the request for cancellation of the registration of the Company and its
debt securities in the Securities Registry kept for this purpose by the CMF, that is, the lines
of bonds registered in the Securities Registry under numbers 722 and 723, on the Stock Exchanges
of Relevant Values.
4. In the event of approval of point 3 above, grant the necessary powers
to carry out the process of cancellation of the aforementioned registration of the Company
and its debt securities before the CMF, the applicable Stock Exchanges and
any other institution, as appropriate.
By virtue of the provisions of Article 60 of Law No. 18,046 on Corporations, in
