From our consideration:
In accordance with the provisions of paragraph 2* of Article 10 of Law No. 18,045, as a whole
with the provisions of Article 18 of Law No. 20,712, in my capacity as General Manager of BTG
Pactual Chile S.A. Administradora General de Fondos (the “Company”), administrator of BTG
PACTUAL RESIDENTIAL INCOME INVESTMENT FUND (the “Fund”), finding me
duly authorized, I hereby communicate to you, as an Essential Fact, the following
information regarding the Fund:
On March 20, the Fund and Arauco Malls Chile S.A. (“Arauco Malls”)
entered into a contract of assignment of promise of sale (the “Assignment”), by which, the
Fondo ceded and transferred to Arauco Malls its contractual position as a promising purchaser of the
Promise of sale subscribed by private instrument dated November 22, 2018 between the
Fondo e Inversiones Conquista SpA (the “Promise”). Product of the Assigned Promise, below,
the promising buyer acquired each and every one of the units of the Concón Building.
The price of the Assignment was paid in full and the advance payment paid by
the Fund on the day of the Promise, leaving the total sum of $3,570,412,724, equivalent to the date of
subscription to 100,326 Development Units, retained at the notary with instructions to be delivered
to the Fund once the transfer of ownership of each and every one of the units of the Building has been registered
Concón to Arauco Malls.
As a result of the above, the Fund has obtained a profit equivalent to the price of
the Assignment, corresponding to the amount of $ 2,655,086,535, equivalent to the date of subscription to
74,606 Development Units.
