Present.
Madam President:
Duly empowered and in compliance with the provisions of Article 9 and Article 10, paragraph
second, both of Law 18.045, I allow myself to inform you of the resolutions adopted in the meeting
extraordinary general shareholders of BTG Pactual Chile S.A. Administradora General de Fondos,
held on July 5 of the present, hereinafter the “Company” or the “Administrator” and the “Meeting”,
respectively.
In this regard, it should be noted that the Board agreed as follows:
1. An amendment to Article Six of the bylaws was approved, to the effect that
establish that the Administrator will be managed by a directory composed of 5
members, eliminating the existence of principal directors and alternate directors;
2. In line with the above, the same 5
directors who to date have served as titular directors.
3. An amendment to Article Eight of the bylaws was approved, according to which the
Director’s position may be remunerated, in which case, it will be the shareholders’ meeting who
It shall determine the structure and amount of remuneration, annually. Compliant with this
modification, the Board approved the structure and amount of remuneration for the board of directors
elected.
4. A new consolidated and coordinated text of the articles of association was approved;
