From our consideration:
In accordance with the provisions of section N* 1 letter f) of circular N* 2102, issued by the
Commission for the Financial Market (“the Commission”), dated April 19, 2013,
We communicate the following essential fact in relation to Bravo and Briones Auditores
Consultores SpA., Rol Unico Tributario 77.001.324-0, registered in the register of inspectors of
accounts and external auditors under No. 932.
On December 6, 2022, a share purchase agreement has been signed,
by virtue of which, Ingrid Verónica Briones Alarcon. RUN 12.637.151-9 hereinafter “the part
seller” and Marcelo Gerardo Bravo Arriagada RUN 12.893.544-4 onwards “the part
buyer”, currently both partners of Bravo and Briones Auditores Consultores SpA.,
RUT 77.001.324-0 hereinafter “society”, together both represent 90% of the
Subscribed and paid shares.
The capital of the company amounts to $ 1,000,000 (one million pesos), and is divided
in 1,000 registered shares, of the same series, ordinary and without par value.
The selling party owns 800 subscribed shares representing 80% (eighty per
one hundred) of the share capital of the company, who sells, assigns and transfers 35% (thirty and
five percent) of the total of its shares to the acquiring party, leaving the capital of the
Company formed as follows:
= Marcelo Gerardo Bravo Arriagada keeps 45% of the total shares.
= Ingrid Verónica Briones Alarcon is left with 45% of the total shares.
= Dayani Laura Briones Alarcon holds 10% of the total shares.
