Ref.: Ref.: Relevant Fact No. 155 – Extraordinary Shareholders’ Meeting
Dear Sir or Madam:
In accordance with the provisions of articles 9 and 10 of Law 18,045 on the
securities, and by Circular N* 662 of that Commission, I inform you that on January 6,
2023 the extraordinary meeting of shareholders of the company “BNP Paribas Cardif
Seguros de Vida S.A.”, with the assistance of all shareholders entitled to
vote.
The resolutions adopted by this board were the following:
a) Modify the statutes of the Company, replacing the eighth article of the
“Article Eight: The Board of Directors shall consist of seven
members, will last three years in their functions, will be renewed in full at the end
of the respective period and may be re-elected. The Directors will continue in their
functions after the expiration of their term if the meeting called to
carry out the renewal; in such a case, the Board of Directors shall convene within the time limit
thirty days to a Board to make the corresponding appointments”.
The corresponding modification of the bylaws will be sent to your
Commission for approval in accordance with Article 127 of the
Law 18.046.
b) Modify the statutes of the Company, replacing the fourteenth article of
the same, by the following: “Article Fourteen. Quorum: The functions of
Director are exercised collectively in a legally constituted Chamber. The sessions of
A Board of Directors shall be constituted with the presence of at least an absolute majority of the
Directors. Resolutions shall be adopted by an absolute majority of the directors
Voting assistants. In the event of a tie, the President shall decide.”
The corresponding modification of the bylaws will be sent to your
Commission for approval in accordance with Article 127 of the
Law 18.046.

c) To renew the members of the Board of Directors, subject to the condition that the Commission to
the Financial Market authorizes the amendments to the statutes indicated in the letter (a) and b)
Precedents.
