From our consideration:
In accordance with the provisions of the second paragraph of Article 9 of D.F.L. N* 251, in relation to the
Article 10 of Law No. 18.045, Title IV of Decree with Force of Law No. 251 and Circulars 662
and 991 of the Commission for the Financial Market, duly authorized, I inform your Commission,
on behalf of BNP Paribas Cardif Seguros de Vida S.A. (the “Company”), in fact
relevant, the following:
Within the framework of the capital increase approved by Resolution No. 4108, dated July 4, 2022,
the Board of Directors of the Company agreed to the issuance and placement of 55,000 shares (the “Shares”), in session
dated July 11, 2022.
On November 24, 2022, they were subscribed by the current shareholder BNP Paribas Cardif
S.A. 20,000 Shares, at the price of $1,000,000, paid in cash by BNP Paribas Cardif S.A. to
Society. The foregoing implied capital income to the Company for the total amount of $ 20,000,000,000.
Consequently, to date 25,900 Shares are pending subscription and payment.
