Ref.: Relevant Event N* 152 – Informs Subscription and Payment of Shares.
From our consideration:
In accordance with the provisions of the second paragraph of Article 9 of D.F.L. N* 251, in relation to the
Article 10 of Law No. 18.045, Title IV of Decree with Force of Law No. 251 and Circulars 662
and 991 of the Commission for the Financial Market, duly authorized, I inform your Commission,
on behalf of BNP Paribas Cardif Seguros de Vida S.A. (the “Company”), in fact
relevant, the following:
Within the framework of the capital increase approved by Resolution No. 4108, dated July 4, 2022,
the Board of Directors of the Company agreed to the issuance and placement of 55,000 shares (the “Shares”, in session
extraordinary dated July 11, 2022.
On July 31, 2022, they were subscribed by the current shareholder BNP Paribas Cardif S.A.
9,100 Shares, at the price of $1,000,000, paid by BNP Paribas Cardif S.A. by transfer
electronic to the Company. The foregoing implied capital income to the Company for the total amount of
$9,100,000,000.
This payment for the Shares, together with the plan for regularization of the term of application of the premiums
collected on the debt of insured implemented by the company, allowed to solve the deficit of
net worth and excess indebtedness duly reported to your Commission on 30
June 2022. In this way, we are pleased to inform your Committee that the patrimonial indices, of
solvency and liquidity of the Company have all once again been adjusted to what is required by Decree with
Force of Law N* 251 and the rules issued by your Commission.
