Under Article 9? and the second paragraph of article 10? of Law No. 18.045 of
Stock Market and in numeral 1. 2.2 of Section II of General Standard No. 30
of the Commission for the Financial Market, and being duly empowered for this purpose, through
I hereby inform you of the following essential facts with respect to BK SpA (the “Company”, its

Today, an ordinary meeting of shareholders of the Company was held, in which the following were adopted,

The shareholders present unanimously agreed to approve the annual report, the statements
financial and the report of the external audit firm, for the financial year
2022, no comments.
The shareholders present unanimously agreed not to distribute dividends.
The shareholders present unanimously agreed to fix the remuneration of the board of directors of
the Society.
The shareholders present unanimously agreed to appoint PricewaterhouseCoopers
Consultants, Auditors and Limited Company as an external audit firm of the
Company for the financial year 2023.
The shareholders present unanimously agreed to appoint Fitch Chile as the
Riesgo Limitada and Clasificadora de Riesgo Humphreys Limitada as companies
risk classifiers for the year 2023.
We will send you the minutes of the aforementioned ordinary shareholders’ meeting in a timely manner, with the details
of the matters submitted to the consideration of the Board and of the resolutions adopted.
