Summons to Ordinary Shareholders’ Meeting. Dividends and Publications.
From our consideration:
In accordance with the provisions of Circular No. 991 for insurance companies and
reinsurers, I would like to inform you that the board of directors of BICE VIDA COMPAÑÍA DE
SEGUROS S.A., agreed to call the Ordinary Shareholders’ Meeting for April 19,
2023, at 3:00 p.m., at Avda. Providence No. 1806, 17th floor, in order to treat the
own matters that according to the law correspond to this class of Boards. In this
Occasion, it will proceed, among other points, the election of the members of the Board of Directors. Have
right to participate in the Meeting, holders of shares registered at midnight of
fifth business day preceding the day of the Meeting.
DIVIDENDS: It is reported that the Board of Directors agreed to propose to the Ordinary Shareholders’ Meeting of
Shareholders, the distribution of a final dividend of $ 1,077,180.- per share, charged
to 2022 earnings. If this proposal is approved by the Board, the dividend
will be paid from May 10, 2023 to holders of shares that are registered
at midnight on the 4th of the same month. In any case, the distribution of dividends remains
subject to the provisions of Law No. 21,276 and Ordinary Official Letter No. 10,901, of 18
February 2021, from the Commission for the Financial Market.
PUBLICATIONS: It is communicated that the financial statements of the company and the report
of external auditors were published on the www.bicevida.cl website, from 16
March 2023. The rationale for the board’s proposal for appointment
of external auditors will be published on the www.bicevida.cl website from 13
April 2023. Notice of the resolution adopted by the Board regarding the payment of dividends
will be published in the electronic newspaper “El Libero” of April 20, 2023.
