From our consideration:
Under Article 9? and in paragraph 2″ of Article 10″ of Law No. 18,045, I inform
you as an Essential Fact, with respect to BICE Inversiones Administradora General de Fondos S.A.
(the “Company”), its businesses and public offering securities, the resolutions adopted at the Ordinary Meeting of
Shareholders held on April 13, 2023:
1.
The Board approved the Annual Report, Balance Sheet, Statement of Profit and Loss and Report of the
External Auditors for the year ended December 31, 2022.
The Board agreed to appoint as directors of the Company Mrs. Alice Martins Gistelinck and the
Mr. Juan Carlos Eyzaguirre Echenique, Mr. Alberto Schilling Redlich, Mr. Rony Jara Amigo and Mr. José Pedro
Balmaceda Montt.
The Board agreed to the distribution of a dividend of $17,905.261779048 per share, to be paid to
count from May 10 of the current year to the holders of shares registered in the Registry of
Shareholders at midnight on the 5th business day prior to such payment date.
The Board agreed to designate PricewaterhouseCoopers Consultores Auditores SpA as a
external audit of the Company for the financial year 2023. The Board also agreed that the
Appointment shall be subject to the condition that such entity is also designated as an undertaking
of external auditors, by the Ordinary Shareholders’ Meeting of Banco BICE to be held
on April 19, 2023.
In due course, we will send you the minutes of the Ordinary Shareholders’ Meeting held on 13
April 2023 with the detail of the matters submitted to consideration by the Board and the agreements
adopted in it.
