From our consideration:
By virtue of the provisions of article 9″ and paragraph 2″ of article 10% of Law N*
18.045, I inform you as an Essential Fact, regarding BICE Inversiones
Administradora General de Fondos S.A. (the “Company”), its businesses and offering securities
public, the resolutions adopted at the Ordinary Shareholders’ Meeting held on 8
April 2022:
1.
The Board approved the Annual Report, Balance Sheet, Statement of Profit and Loss and
Report of the External Auditors for the year ended 31 December
2021.
The Board agreed to appoint Mr. Juan Carlos as directors of the Company.
Eyzaguirre Echenique, Alberto Schilling Redlich, Rony Jara Amigo, José Pedro
Balmaceda Montt and Enrique Castro Abele.
The Board agreed to the distribution of a dividend of $11,549.6978 per share, which will be
Payment from April 26 of the current year to holders of registered shares
in the Register of Shareholders at midnight on the 5th business day preceding such date of
payment.
The Board agreed to appoint PricewaterhouseCoopers Consultores Auditores SpA as
the Company’s external audit company for the year 2022. In addition, the Board
agreed that such appointment shall be subject to the condition that such entity be
also designated as a firm of external auditors, by the Board
Ordinary Shareholders’ Meeting of Banco BICE to be held on April 20, 2022.
In due course, we will send you the minutes of the Ordinary Shareholders’ Meeting held
on April 8, 2022 with the detail of the matters submitted to consideration of the
Board and the resolutions adopted therein.
