From our consideration:
I hereby communicate to you the following essential fact regarding the company Banvida S.A.
registered in the Registry under N* 0664.
At the Ordinary Shareholders’ Meeting held on April 27, the following were agreed
matters:

The Annual Report, Balance Sheet, Financial Statements and Auditor’s Report were approved
Independent, corresponding to the year between 1% January and 31 January
December 2022;
The annual management of the Directors’ Committee was reported;
It was agreed to distribute a final dividend of $22.8 pesos per share charged to the
Profits of the year 2022.
This dividend, in addition to the provisional dividend of $16 pesos per share approved by the
directory of September 21, 2022 and which was paid on October 12, 2022,
totaled $38.8 pesos per share, equivalent to 56% of the net income of the
Fiscal year 2022.
The final dividend of $22.8 pesos per share will be paid as of May 8,
2023 to shareholders registered in the Shareholders’ Register on May 2, 2023.
It was appointed for the financial year 2023 as an external audit firm to
PricewaterhouseCoopers Chile, and as risk rating entities to Feller Rate
Risk Classifiers and Fitch Chile Risk Classifier;

5) A new board of directors was elected, and Mr. Eduardo Fernández Mac-
Auliffe, Tomás Fernández Mac-Auliffe, José Antonio Garcés Silva, Matías Garcés Silva,
Gonzalo Ibáñez Langlois, Francisco Jiménez Ureta and Mr. Jaime García Rioseco, this

6) The remuneration of the Board of Directors for the year 2023 was determined;
7) The remuneration and budget of the Directors’ Committee were fixed, in accordance with art. 50a of
