By the present in accordance and in compliance with the provisions of articles 9 and 10% subsection
Second of Law N* 18,045, I report the following essential fact regarding the corporation
opened Banvida S.A.
In accordance with what was reported through an essential fact dated April 27, the
today, Wednesday, June 29, 2022, Banvida S.A. formalized and finalized the purchase of
2,781,649 shares of Consorcio Financiero S.A., equivalent to 1.93% of the issued shares
for that company, at a price of $12,381.53 pesos per share, this is for a price whose amount
Total amounts to $34,411,070,543.
As previously reported, this operation was fully financed from own resources.
from the Social Fund.
Those shares were sold by the shareholders International Finance Corporation and
Calverton Spain S.L, companies that have liquidated 50% of their participation in the capital of
Consorcio Financiero S.A., a stake that has been acquired by Banvida S.A. in conjunction with
the holding companies of Consorcio Financiero S.A. in proportion to their participation in the
capital.
After this operation, Banvida S.A. increased its shareholding in Consorcio
Financiero S.A. from 42.023% to 43.95% currently.
