From our consideration:
By this in accordance with and in compliance with the provisions of articles 9? and 10? Subsection
second of Law N? 18.045, I report the following essential fact regarding the corporation
opened Banvida S.A.
At a special meeting of the Board of Directors, held on April 26, the Board of Directors
approved the terms of an agreement reached between Banvida S.A. and the holding companies
of Consorcio Financiero S.A., to acquire shares of the latter company from shareholders
International Finance Corporation and Calverton Spain S.L., which will sell fifty per cent.
percent of its current share.
The foregoing implies that Banvida will buy and pay in cash the amount of 2,781,649 shares
of Consorcio Financiero S.A., equivalent to 1.93% of the shares issued by said company,
at a price of $12,381.53 per share, for a total amount of $34,441,070,543.
This operation will materialize on June 29, 2022 and will be financed with resources
own from our main investment, thus increasing the shareholding in
Consorcio Financiero S.A. from the current 42.023% to 43.95%.
