Dear Sir or Madam:
In compliance with the provisions of Articles 9 and 10 of Law No. 18,045, on the Securities Market and
in the General Rule N*30 of the Commission for the Financial Market, duly authorized,
I inform as an Essential Fact of Banmédica S.A. (the “Company”) that yesterday,
Banmédica S.A. and Bordeaux UK Holdings II Limited (“UHG UK”) -a company of the UnitedHealth Group
investor in Empresas Banmédica- sent a letter to His Excellency the President of the Republic
Mr. Gabriel Boric Font, through which they formally activated the dispute resolution mechanism
contained in Article 7 of the Agreement between the Government of the Republic of Chile and the Government of the Kingdom
United Kingdom of Great Britain and Northern Ireland for the Promotion and Protection of Investments 1996 (the
“Treaty”).
In the letter, together with reserving its rights under the Treaty and other applicable instruments, the
Company and UHG UK asked the Government of Chile to start a three-month period of negotiations
to seek an amicable solution to the serious situation generated by various breaches by the State
of Chile to its international obligations under the Treaty, which have an impact on both isapres
and for the group’s health providers in Chile.
Given the nature of the aforementioned breaches, it is not yet possible to estimate with
accuracy its financial effects on the assets, liabilities or results of Banmédica S.A.
