From our consideration,
In accordance with the provisions of Articles 9″ and 10″ of Law No. 18,045 on the Market of
Values and the provisions of Chapter N*18-10 of the Updated Collection of
The Commission for the Financial Market (“CMF”), I inform you, in the capacity of
essential information, the following:
As reported by essential fact dated November 30, 2021, Banco del
State of Chile (“BancoEstado”) in conjunction with the rest of the shareholder banks of the
bank transfer support company “Operadora de Tarjetas de Crédito Nexus S.A.” (in
hereafter, “Nexus”) reached an agreement with Minsait Payments Systems Chile S.A. (a subsidiary
of the Spanish company Indra Sistemas S.A.) for the sale of 100% of the shares of which
are owners in Nexus, subject to compliance or waiver of various conditions
suspensive, among which were the authorization of the CMF for the disposal
of 100% of the shares of Nexus and that the transaction was approved by the Prosecutor’s Office
Nacional Económica (hereinafter, the “Transaction”).
Having fulfilled the conditions for the closing of the Transaction, with this same date
it has been closed and, consequently, Minsait Payments Systems Chile
S.A. has acquired 100% of the shares of Nexus. As of this date, the price of the Transaction
amounts to $8,900,682,219.- pesos, without prejudice to price adjustments and additional payments
provided for in the contract for the sale of Nexus shares, if applicable
and the milestones and conditions established therein are met.
As a result of the above, Minsait Payments Systems Chile S.A. has taken control of Nexus
and BancoEstado together with the rest of the shareholder banks have ceased to be
shareholders of Nexus.
