Ref.: Informs Payment of Tax Debt and Extension of Concession.
From our consideration:
By means of the herein, duly authorized for that purpose, and by virtue of the provisions of the
Article 9″ and second paragraph of Article 10? of Law No. 18,045, and in the General Norm
N? 30 of the Commission for the Financial Market (hereinafter the “Commission”) communicated to it
Commission, as an essential fact in respect of the company Azul Azul S.A. (hereinafter the
“Company”), the following:
On December 26, 2022, the Company proceeded to deliver to the General Treasury
of the Republic payment document in respect of the entire tax debt that the Corporation
of Professional Football of the University of Chile (the “Corporation”) maintained in force with the Treasury
of Chile and which constituted the object of the Payment Agreement concluded on June 8, 2007
between the Corporation, in bankruptcy, the Company and the General Treasury of the Republic in the terms
referred to in number 3 of transitory article 2 of Law No. 20,019, and by virtue of which the
Company assumed the status of joint and several debtor, without the right to reimbursement, of the obligation
Tax object of the aforementioned agreement.
Having received confirmation and payment being made to the General Treasury of the
Republic, as well as the receipt of this, we inform you that such obligation will be
is extinguished and that consequently the automatic extension of the term of the
concession that the Company owns, in respect of all the property, rights and assets of the Company
Corporation, until June 8, 2052, all according to the provisions of the eighth clause of the
Concession, Use, Enjoyment and Exploitation Agreement, entered into by public deed dated June 8
of the year 2007, in the Forty-fifth Notary of Santiago of Mr. René Benavente Cash, between the
Corporation, bankrupt and the Company.
