Dear Sir or Madam:
Pursuant to Articles 9 hereby? and 10? of the Law
18.045 on the Securities Market, and with the instructions contained in the General Standard
N? 30 of the Commission for the Financial Market, on behalf of AVLA S.A. (hereinafter, the
“Company”), I have come to inform, as an essential fact, that at the Extraordinary Meeting of
Shareholders (hereinafter, the “Meeting”) and in Extraordinary Meeting of the Board of Directors of the Company (in
hereinafter, the “Board”), both held today, the Board and the Board of Directors, unanimously,
approved the corporate reorganization project of the Company and its subsidiaries in order to
enable the Company to develop its business plan, its international expansion and strengthen its
financial position in the region, through the execution and signing of several acts and contracts in
the countries in which the Society is present, namely: Chile, Peru, Mexico, Brazil and Bermuda, of
Compliance with the legislation of each of them.
For the sake of completeness, among other matters, it was agreed: (1) To authorize the Company to incorporate.
a holding structure in Bermuda, taking into account the presence of the Company in that country and
in order to separate the insurance business from the financial business; and, (1i) Authorize, of
compliance with the provisions of Article 67 number 9 of Law No. 18,046 on Companies
Anonymous, the disposal of 50% or more of the assets of the Company and/or the assets of a subsidiary and/or
their actions.
