Shareholders (hereinafter, the “Meeting”), held today, the Meeting, unanimously, approved
to authorize the Company to participate in 100% of the share capital of AVLA Bermuda Holding Corp
Ltd., a company to be incorporated in Bermuda under the Companies Act 1981 of Bermuda.
