From our consideration:
In accordance with the provisions of Articles 9 and 10 of Law 18,045 of the Securities Market Law and Section II of General Rule No. 30 of the Financial Market Commission, Autofin S.A. (“Autofin”), hereby notifies you of the following essential fact:
We refer to the Essential Event communicated on August 12, 2022, by which it was informed that the current shareholders of Autofin S.A., that is, the Private Investment Fund Frontal Trust Autofin, and the companies Inversiones y Rentas Bilbao S.A., Inversiones Torca Limitada, Flomanju SpA, Frontal Trust S.A., Inversiones F y M Dos SpA, and Inversiones Norfolk Limitada, entered into a share purchase and sale agreement with Banco Internacional (the “Bank”), Inversiones F y M Dos SpA, and Inversiones Norfolk Limitada, entered into a share purchase and sale agreement with Banco Internacional (the “Bank”), whereby the Bank, subject to the fulfillment of certain conditions, may acquire 51% of the shares of Autofin (the “Purchase and Sale Agreement”).
In this regard, we hereby update the aforementioned Essential Fact, informing that the Bank informed us on May 11 of this year that on May 10, 2023, the Financial Market Commission notified them of Exempt Resolution Number 3265, which authorized the Bank to acquire 51% of the shares of Autofin. As a result of the foregoing, if the transaction is completed, Autofin will become a subsidiary of the Bank and will be incorporated as a Banking Support Company.
Finally, we inform you that the completion and materialization of the transaction is subject to compliance with the terms and conditions of the current contractual agreements between Autofin’s current shareholders and the Bank.
