and improvements to administrative models or processes, certification and quality assessments of
management processes or models, professional accounting services, finance, taxation,
administration, project evaluations and in general evaluations of companies and individuals, the
free professional exercise of its associates and collaborators, the empowerment, financing and
investment of new businesses and participation in evaluation and management of new projects,
in addition to all those professional activities of auditing, engineering, training and
management applicable to enterprises and considered necessary to support the achievement of
its commercial purposes and any other useful or necessary activity or business that say relationship
with its social purposes, even different from the previous ones, as well as any other activity
related to the indicated object previously agreed by the shareholders and the realization of
all acts and contracts necessary and/or conducive to the fulfillment of the corporate purpose.”.
2) It was agreed unanimously by the shareholders to transform the company, its species or type of company
from public limited company to limited liability company, dictated as a result of the

Metropolitan Region; Mr. JOAQUÍN RODOLFO NAWRATH CARRIZO, domiciled in
Carlos Alvarado N*4.615, department 305, Las Condes, Metropolitan Region; and Don TOMÁS
RICARDO NAWRATH CARRIZO, domiciled in Simón González N*8.918, La Reina, Region
Metropolitan; constituted a Limited Liability Company in the amount of their contributions.
COMPANY NAME: NAWRATH AUDITORES, CERTIFICADORES LIMITADA, being able to
use for all legal purposes, advertising purposes and to act even before banks,
financial institutions or any public or private body, the commercial acronym or name
fantasy “NAWRATH LIMITED”, “NAWRATH”, “NWR”, “NAWRATH
CONSULTANTS” or “NAWRATH CERTIFIERS”, with which the company will be bound
in the same way as if it acted with its full corporate name. ADDRESS: Santiago de Chile,
