Ref.: Communicates resolutions adopted at the meeting
Ordinary Shareholders of the Company.
From our consideration:
By means of the present, and by virtue of the provisions of article 9% and second paragraph of the
Article 10* of Law N* 18.045, and duly authorized by the Board of Directors of ASSURANT
CHILE COMPAÑÍA DE SEGUROS GENERALES S.A. (the “Company”), I inform you, in
as an essential fact with respect to the Company, the following:
That, on April 24, 2023, the Ordinary Shareholders’ Meeting of the
Society, where the following was agreed:
1. Approve the Financial Statements and the Annual Report for the year ended 31
December 2022 and the report of the external auditors;
2. Approve the Company’s dividend distribution policy;
3. Not to distribute dividends corresponding to profits for the year ended 31
December 2022;
4. Renewal of the Board of Directors, which becomes made up of the following
limbs: (i) Federico Bunge, (ii) Diego Gomez, (iii) Juan Carlos del Barrio, (iv) Agnes
Aramburu and (v) Gabriel Fuoco, who will last in their functions for a new
statutory period of 3 years;
5. It is unanimously agreed not to remunerate the directors of the Company during
the financial year 2023;
6. To appoint Messrs. PriceWaterhouseCoopers as Consultants, Auditors and
Limited Company as an external audit firm for the year 2023;
7. To appoint Mr. Feller Rate Clasificadora de Riesgo Ltda. and Fitch Chile
Clasificadora de Riesgo Ltda. as Risk Rating Companies for the
2023 financial year; and
8. Other matters of social interest and competence of the Ordinary Meeting of
Shareholders.
