By virtue of the provisions of art. 9 and paragraph 22 of art. 10 of Law No. 18,045 and the provisions of Section II of General Standard No. 230 of the Commission for the Financial Market, being duly empowered to this effect by the Board of Directors, I have come to communicate the following with respect to the company Embotelladora Andina S.A. (the “Company”), its businesses, its public offering securities or the offer thereof, As an essential fact:
At the ordinary meeting of the Board of Directors of the Company held on February 28, 2023, it was agreed, among other things, the following:
1. The call for an Ordinary Shareholders’ Meeting for April 20, 2023, at 10:00 a.m. (the “Meeting”), which will be held 100% remotely from the Company’s offices located at Av. Miraflores 9153, Renca, Metropolitan Region in accordance with the provisions of General Standard No. 435 and Circular No. 1141.
2. The matters to be discussed at the Meeting will be those of this class of meetings, including, among others, ratifying the provisional dividends paid against the profits of the year 2022 and approving the distribution of profits and the distribution of new dividends as described below:
1. A first dividend for the amounts indicated below:
a) $29 (twenty-nine pesos) for each Series A share; and
b) $31.9 (thirty-one point nine pesos) for each Series B share.
If approved by the Shareholders’ Meeting, the new dividends indicated above would be paid as of May 9, 2023.
2. A second dividend for the amounts indicated below:
c) $50 (fifty pesos) for each Series A share; and
d) $55 (fifty-five pesos) for each Series B share.
If approved by the Shareholders’ Meeting, the new dividends indicated above would be paid as of May 26, 2023.
The closing of the Shareholders’ Register for the payment of the aforementioned dividends would be the fifth business day prior to the respective payment date.
