From our consideration,
By virtue of the provisions of General Standard No. 30,
and by virtue of the provisions of article 9 “and second paragraph of the
Article 10″ of Law No. 18,045 on the Securities Market, we inform
to you as an Essential Fact, which at the Ordinary Meeting of
Shareholders of the company Andacor S.A. held on 20
April 2022, the following agreements were adopted:
1. The Annual Report, Balance Sheet, Financial Statements were approved
and the Report of the External Auditors, corresponding to the
Fiscal year 2021.
2. Do not distribute dividends.
3. Election of the Board of Directors for the years 2022, 2023 and 2024.

6. It was agreed that the publications mandated by law shall be made
in the electronic newspaper “El Mostrador”.
7. The Board took cognizance of the transactions with parties
related to Title XVI of Law 18,046.
8. He realized the progress of social business and
dealt with the other matters of the Ordinary Meeting of
Shareholders.
