Ref. Announces decrease in capital of Ameris UPC
Real Estate Development Investment Fund
From our consideration,
By means of the herein, duly authorized for that purpose, by virtue of the provisions of the
Article 18 of Law No. 20,712 in relation to Article 9″ and second paragraph of Article 102,
both of Law No. 18.045; I communicate to you, the following ESSENTIAL FACT with respect to
Ameris UPC Real Estate Development Investment Fund, hereinafter the “Fund”,
administered by Ameris Capital Administradora General de Fondos S.A (the “Administrator”).
In extraordinary meeting of the board of directors of the Administrator, held on April 18,
2022, it was agreed to carry out a capital decrease in the terms regulated by chapter X
N*2 of the Rules of Procedure of the Fund, in the form, conditions and time limit indicated to
continuation:
1) The capital reduction will be made by approximately 4.60% of the value of the
Fees subscribed and paid taking as reference to April 18, 2022, for a total
of $ 245,000,002.-, distributed in a single series, as follows:

ii) The payment of the capital reduction will be made as of Monday, April 25,
2022, by bank transfer, to Contributors who are registered as such in
the Register of Fund Contributors, at midnight on the fifth business day preceding the
date of payment, corresponding to the amount resulting from dividing the total amount to be distributed
by the number of quotas subscribed and paid, which appear in said Registry.
