capital decrease of Ameris NM Guardian
lll Investment Fund
From our consideration,
Hereby, duly empowered for that purpose, by virtue of the provisions of the
provided in Article 18 of Law No. 20,712, in relation to Article 9? and subsection
second of Article 10%, both of Law N*18.045; I communicate to you, the following
ESSENTIAL FACT regarding Ameris NM Guardian lll Investment Fund, in
forward the “Fund”.
In Extraordinary Meeting of the Board of Directors of Ameris Capital Administradora General
of Fondos S.A. (the “Administrator”) held on January 24, 2023,
agreed on this Fund:
1 Distribute a provisional dividend, amounting to the amount of US$
143,878.26.-, charged to the estimated net profit received for the year
2023, to be distributed among the four series of this Fund as follows:

2. Make a decrease in capital, by decreasing the value
share of the Fund, under the terms regulated, by Chapter X number TWO,
of the Fund’s Rules of Procedure, at approximately 1.66% of the quota value,
taking as reference the day of January 24, 2023; What it turns out to be
equivalent to a total amount of USD$ 337,735.47.-, with the following
characteristics:

The distributions indicated above will be paid as of Monday, January 30,
to contributors who are registered in the register of contributors
respective at midnight on the fifth working day preceding this date, on a pro rata basis
