NM Guardian ll Investment Fund
From our consideration,
By means of the hereby, duly authorized for that purpose, by virtue of the provisions
in Article 18 of Law N*20.712 in relation to Article 9? and second paragraph of the
Article 10% of both Law No. 18.045; I communicate to you, the following FACT
ESSENTIAL with respect to Ameris NM Guardian Il Investment Fund, hereinafter the
“Fund”, managed by Ameris Capital Administradora General de Fondos S.A (the
“Administrator”).
In extraordinary meeting of the board of directors of the Administrator, held on 17
of November 2022, it was agreed to carry out a capital decrease in the terms
regulated in Number Two of Title X of the Fund’s Rules of Procedure, in the
Form, conditions and term indicated below:
(i) The capital reduction shall be made by approximately 18.065% of the assets-
This corresponds to a reduction in capital through the
decrease in the value of each of your installments, for a total of USD$
985.154,92.-, distributed as follows:

ii) The payment of the reduction of these quotas, will be made from Wednesday,
November 23, 2022, by bank transfer, to Contributors
that appear registered as such in the Register of Contributors of the Fund, at the
midnight of the fifth business day prior to the date of payment, corresponding
to the amount resulting from dividing the total amount to be distributed by the number of
fees subscribed and paid, which appear in said Registry.
