of Ameris Direct Debt Fund
Investment
From our consideration,
By means of the present, duly authorized for that purpose,
by virtue of the provisions of Article 18 of Law No. 20,712 in relation to
Article 9? and Article 10, second paragraph, of Law No. 18,045; I communicate to
you, the following ESSENTIAL FACT regarding Ameris Direct Debt
Investment Fund, hereinafter the “Fund”.
In extraordinary meeting of the board of directors of Ameris Capital
Administradora General de Fondos S.A. held on February 2,
2023, it was agreed to distribute a provisional dividend amounting to the amount
Total of $ 524,093,387.-, which will be imputed to the net profit received
(‘BNP’) for the financial year 2022

It is noted that, by virtue of the provisions of
5.5 of Title IX of the Rules of Procedure of the Fund, shall be offered to
contributors that the payment of dividends corresponding to the quotas of
your property, is made according to one of the following alternatives:
¡. It is reinvested in quotas of the same Fund, representing a
equivalent value.
li. Deposit to your bank account, previously registered by the
contributor in the Administrator.
Ll. Paid-up quotas from the Fund, representing a capitalisation
equivalent (“offspring”);
For these purposes, they must indicate this preference for
writing, which must be sent to the Administrator no later than the day
Tuesday, February 14, 2023. In the event that the contributor does not express his
willingness to receive payment of dividends in the manner proposed above,
Dividends will be paid to you by deposit to your bank account.
Finally, it is reported that this dividend will be paid to
count from Friday, February 17, 2023, by transfer
bank or in installments released from the fund, to the Contributors that appear
registered as such in the Register of Contributors of the Fund to the
midnight on the fifth business day preceding the date of payment,
corresponding to the amount resulting from dividing the total amount to be distributed
by the number of installments subscribed and paid, as stated in said
Registration on the aforementioned date.
