Decrease in Capital of Ameris CESL II Fund
Investment
From our consideration,
Hereby, duly empowered for that purpose, by virtue of the provisions of the
provided in Article 18 of Law No. 20,712 in relation to Article 9″ and second paragraph
Article 10%, both of Law No. 18,045; we communicate to you the following FACT
ESSENTIAL, with respect to Ameris CESL II Investment Fund, hereinafter the “Fund”.
In Extraordinary Meeting of the Board of Directors of Ameris Capital Administradora
General de Fondos S.A. (the “Administrator”) held on May 20, 2022,
Agreed as follows:
1) Distribute a provisional dividend from the Fund, charged to the net profit received
Estimated for the year 2022, by concept of provisional dividends, amounting to the
total amount of US$1,743,000.18.-, considering the number of installments subscribed and
paid as of May 20, 2022, the breakdown of which is as follows:

2) Decrease the capital by decreasing the quota value of the Fund, in the
terms governed by Chapter X N*2 of its Rules of Procedure, corresponding to
approximately 3.58% of the assets, considering the number of quotas subscribed and
paid as of May 20, 2022, for a total of US$1,360,804.97.-, distributed from
