From our consideration:
In compliance with the provisions of article 9 and the second paragraph of article
10 of Law No. 18,045 on the Securities Market, and the provisions of NCG N? 30, and
being duly empowered to do so, in the terms provided by the
third paragraph of article 106 of the Securities Market Law I come to inform
regarding América Móvil, S.A.B. de C.V. (“AMX”) [BMV: AMX] [NYSE: AMX |
AMOV] that on March 21, 2023 the Board of Directors resolved
submit to the consideration of its shareholders, in the meetings that will have
verification during the month of April 2023 (the “Assemblies”), the following
Proposals:
Dividend
The payment of a dividend in the amount of $0.46 (forty-six cents of
weight), per share, payable in two equal exhibitions, to each of the
Series “B” shares representing the share capital of AMX, subject to
adjustments arising from the repurchase or reallocation of treasury shares, among others
Corporate events that vary the number of shares outstanding in each
one of the payment dates of this dividend.
Buyback Fund
The establishment of a fund for the acquisition of own shares
in the amount of $20,000,000,000.00 (twenty billion Pesos), to be
used during the period April 2023 – April 2024, amount that will include the balance
of the AMX share repurchase fund as of the date of the Meetings.
Cancellation of Treasury Shares
The cancellation of all shares that, at the date of the Assemblies,
AMX hold in treasury, acquired as part of its
Acquisition of own shares (repurchase).
