From our consideration:
In compliance with the provisions of article 9 and the second paragraph of article
10 of Law No. 18,045 on the Securities Market, and the provisions of NCG No. 30, and
being duly empowered to do so, in the terms provided by the
third paragraph of article 106 of the Securities Market Law I come to inform
regarding América Móvil, S.A.B. de C.V. (“AMX”) [BMV: AMX] [NYSE: AMX |
AMOV] dated March 16, 2023 and by virtue of the reclassification of the
shares representing its share capital (Series “A”, “AA” and “L”) in shares of
a new and unique Series “B”, ordinary and with full voting rights, previously
Announced and approved by its shareholders’ meetings on 20 December
2022, all Series “A”, “AA” and “L” shares deposited with S.D. Indeval
Institución para el Depósito de Valores, S.A. de C.V. (“INDEVAL”), became
in Series “B” shares at a 1:1 conversion ratio. The Americans
Depositary Shares (“ADSs”) representing Series “A” shares (“Series ADSs”)
A”) and Series “L” (“Series L ADSs”), will be cancelled and will be issued and distributed.
ADSs representing Series “B” shares (“Series B ADSs”) to
respective holders of Series A ADSs and Series L ADSs, in terms of
Respective Deposit Agreements. Each Series B ADSs
shall represent twenty (20) Series “B” shares. At the opening of the sessions of the
today will begin the listing and listing of Series “B” shares (ISIN)
MX01AM050019) on the Bolsa Mexicana de Valores, S.A.B. de C.V. (“BMV”) and the
Series B ADSs on the New York Stock Exchange. In the case of AMX shares
represented by physical stock securities that are not deposited in
INDEVAL, the conversion and delivery of securities representing shares of the
Series “B” will be carried out in accordance with the terms of the published Notice to Shareholders
by AMX in the BMV and in the newspaper Reforma on March 6 and 7, 2023,
respectively.
