From our consideration:
In compliance with the provisions of Article 9 and the second paragraph of Article 10 of the
Law N* 18.045 on the Securities Market, and the provisions of NCG N* 30, and finding myself
duly authorized to do so, in the terms provided for in the third paragraph of the
Article 106 of the Securities Market Law I come to inform regarding América Móvil,
S.A.B. de C.V. (“AMX”) [BMV: AMX] [NYSE: AMX | AMOV] which is dated August 8,
2022, the conditions have been met and the necessary previous steps completed
to spin off telecom towers and other associated infrastructure deployed
in certain Latin American countries, so that on this date the split has taken effect
of AMX approved by its shareholders in 2021, and certain assets, liabilities have been transferred
and capital in favor of a new company called Sitios Latinoamérica, S.A.B. de C.V.
(“Latam Sites”).
Sitios Latam is of Mexican nationality, independent in its capital structure and
AMX administration. Its business focuses on building, operating and marketing towers and
other structures for the installation of telecommunications equipment. Your towers will be able to
be accessed and used by all telecommunications service operators
wireless in Latin American countries where it has towers and Opera:
Argentina, Brazil, Chile, Costa Rica, Ecuador, El Salvador, Guatemala, Honduras,
Nicaragua, Panama, Paraguay, Puerto Rico and Uruguay. It has also initiated in this
date the construction of new towers in Peru. Your inventory of towers in the
jurisdictions where it operates is 29,090 in aggregate. 39% of which are
found in Brazil. Sitios Latam will continue to evaluate growth opportunities in
the region.
The share capital of Sitios Latam is represented by a single series of shares with
full voting rights. Your actions will be registered only in the National Registry
of Securities (“RNV”) of the National Banking and Securities Commission (“CNBV”) and listed in
the Bolsa Mexicana de Valores, S.A.B. de C.V. (“BMV”) for listing and trading in
Mexico, without a public subscription offer. Prior to the distribution of the
actions of Latam Sites, a concentration of its number of actions will be carried out
(reverse split) at a rate of 1:20, whereby AMX shareholders will receive one (1) share
of Latam Sites for every twenty (20) shares of AMX.
In accordance with the provisions of the Single Circular of Issuers of the CNBV1, once
obtain the corresponding authorizations from the CNBV and BMV for registration and
list of the actions of Latam Sites (same ones that are in process), AMX and
Latam Sites will publish an informative brochure containing all the relevant information
related to Latam Sites (including certain financial information) and the process of
distribution of its shares to AMX shareholders.
