From our consideration:
In compliance with the provisions of article 9 and the second paragraph of article
10 of Law No. 18,045 on the Securities Market, and the provisions of NCG No. 30, and
being duly empowered to do so, in the terms provided by the
third paragraph of article 106 of the Securities Market Law I come to inform
regarding América Móvil, S.A.B. de C.V. (“AMX”) [BMV: AMX] [NYSE: AMX |
AMOV] that today, April 20, 2022, its Brazilian subsidiary Claro S.A. (“Claro”),
has closed the acquisition of the asset portion of Grupo Oi’s mobile business in
Brazil that corresponds to it according to the acquisition contract concluded between Group
Oi, as seller, and Claro, Telefónica Brasil S.A. and TIM S.A., as buyers.
Claro will pay for the aforementioned acquisition the total amount of R$ 3,572 million
Real. In addition, Claro has paid R$188 million in R$
transition services to be provided by Grupo Oi to Claro during the next few years
twelve months.
The transaction creates additional value for Claro, its shareholders and customers, through
Growth, generation of operational efficiencies and improvements in the quality of the
service.
