By virtue of the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in relation to Article 18 of Law No. 20,712, duly authorized and on behalf of Larrain Vial Activos S.A. Administradora General de Fondos (the “Administradora”), management company of the ALTAMAR X MIDMARKET INVESTMENT FUND (the “Fund”), I come to inform you as an essential fact that at the Ordinary Assembly of Fund Contributors held on May 22, 2023, the following was agreed:
1. The annual account of the Fund presented by the Administrator, regarding the management and administration of the Fund and the corresponding financial statements were approved;
2. It was agreed to elect as members of the Supervisory Committee, Mr. Valentina Leiva Sapiains, Mr. Pablo Morán Ronco and Mr. Juan Pablo Carreño Cea and their remuneration was set at 20 Development Units per session, with a maximum of 5 sessions;
The expense budget for the Oversight Committee of 200 Unidades de Fomento was approved;
4. It was agreed to designate the audit firm Grant Thornton Chile as the Fund’s external audit firm;
5. It was agreed to appoint Analytics Lab as independent experts or valuers of the Fund.
