ESSENTIAL FACT
ALTAMAR PRIVATE EQUITY INVESTMENT FUND VIII

Pursuant to the provisions of Article 18 of Law No. 20,712, I hereby give notice as an Essential Event, with respect to the Fund, that by agreement of the board of directors of the managing company, the following ordinary meeting of contributors to the Fund, managed by Larrain Vial Activos S. A. Administradora General de Fondos (the “Company”), has been called to be held on May 22, 2023 at 10:00 a.m. at Avenida El Bosque Norte No. 0177, 4th floor, commune of Las Américas, Chile.A. Administradora General de Fondos (the “Company”), to be held on May 22, 2023 at 10:00 a.m., at Avenida El Bosque Norte N° 0177, 4th floor, Las Condes, Santiago, in order to deal with the following matters:
i. To approve the annual account of the Fund to be submitted by the Company, relating to the management and administration of the Fund, and to approve the audited financial statements for the year ended December 31, 2022;
ii. Dividend distribution;
iii. To elect the members of the Oversight Committee;
iv. Approve the budget for the expenses of the Oversight Committee;
v. To fix the remuneration of the Supervisory Committee;
vi. To appoint, from among a list of three proposed by the Supervisory Committee, the external auditing firm for fiscal year 2023, from among those listed in the Register kept for this purpose by the Financial Market Commission;
vii. Appointment of independent valuers for the valuation of the Fund’s investments; and
viii. Any matter of common interest of the contributors that is not proper for an extraordinary meeting.
RIGHT TO PARTICIPATE IN THE ASSEMBLY
The Contributors who are registered in the Register of Contributors at midnight of the fifth business day prior to the date of the Meeting shall have the right to participate in the Meetings.
REMOTE PARTICIPATION AND VOTING
In consideration of the provisions of the Financial Market Commission in General Rule No. 435 and in Circular No. 1,141, both dated March 18, 2020, the Contributors are informed that they may participate and vote in the Meetings by technological means, through the videoconference system.
Further details regarding the mechanisms to connect to the videoconference system will be sent by e-mail to each of the Contributors.
QUALIFICATION OF POWERS
The qualification of proxies, if applicable, shall be carried out on the same day of the Meetings, at the place where they are to be held and at the time they are to begin.
