In accordance with the provisions of Article 18 of Law No. 20,712 and Articles 92 and 10 of Law No. 18,045, we inform you that on this date, Toesca Infraestructura Fondo de Inversión (hereinafter “Toesca”), entered into a share purchase agreement with Aguas Nuevas S.A. (“Aguas Nuevas”) and Enernuevas SpA (“Enernuevas”), by virtue of which Aguas Nuevas and Enernuevas will acquire all the shares of Enernuevas SpA (“Enernuevas”). (“Aguas Nuevas”) and Enernuevas SpA (“Enernuevas”) a share purchase and sale agreement, by virtue of which Aguas Nuevas and Enernuevas will acquire all the shares owned by Toesca in Nueva Atacama S.A. (“Nueva Atacama”), which correspond to a total of 6,800,900 shares, equivalent to 50% of the subscribed and paid shares of Nueva Atacama S.A. (“Nueva Atacama”).
Such sale and purchase shall be carried out in accordance with the following proportion:

Pursuant to the terms contemplated in such agreement, the completion of the purchase is subject to customary conditions for this type of transaction, including (i) the authorization of Empresa Concesionaria de Servicios Sanitarios S.A. pursuant to the “Contrato de Transferencia del Derecho de Explotación de Concesiones Sanitarias” entered into between the Company and such entity; and (ii) a favorable pronouncement from the antitrust authorities in accordance with the merger notification regime in accordance with current legislation on the matter. Thus, subject to the fulfillment of these conditions precedent, once the transaction is completed, Aguas Nuevas will own 99.9999998% of the capital stock of Nueva Atacama S.A. and Enernuevas SpA will own the remaining 0.00000002%.
Subject to certain adjustments based on the final closing date, the total price for the acquisition of the shares will be $27,626,178,844. In addition, Toesca will assign to Aguas Nuevas or the company designated by it, a demand credit granted by Toesca to Nueva Atacama S.A. on July 30, 2018, in the amount of Ps. 18,025,821,156. The operation will be financed in whole or in part, either through bank financing, at the level of Aguas Nuevas or any of its operating subsidiaries, or through the placement of bonds under one or more of the bond issuance contracts that Aguas Nuevas’ subsidiaries have in force.
Nueva Atacama S.A. holds the right to operate the concessions for the public utilities of production and distribution of drinking water and sewage collection and disposal in the towns of Copiapó, Chañaral, Caldera, El Salado, Diego de Almagro, Inca de Oro, Tierra Amarilla, Vallenar, Freirina and Huasco, all in the Atacama Region.
