From our consideration,
We hereby inform you that by Extraordinary Meeting of
Shareholders of the company “Aguas Nuevas S.A.”, held on this date, February 20
of 2023, the following agreements were adopted:
(1) Approve the subscription by Aguas del Sol SpA -company in which Aguas
Nuevas S.A. will have a shareholding equivalent to 50%, or another name with
that company is constituted in the future – of the operation and maintenance contract
of a reverse osmosis desalination plant, water transport pipes and
Related pumping stations, power substations and power lines
high-voltage transmission; located in the north of Chile, near the cities of
Tocopilla and Calama, awarded by Codelco to the consortium formed by Marubeni
Corporation and Transelec Holdings Rentas Limitada, under a BOOT modality and by a
operating term of 20 years;
(ii) Approve the granting by the Company of a personal guarantee, for
guarantee compliance with the obligations of the company Aguas del Sol SpA, under the
Contract referred to in the previous paragraph;
(iii) To empower the Chairman of the Board of Directors of the Company broadly to:
sign the relevant contracts, and in general perform all other management and execute everything
other act which is necessary or desirable to give effect to the agreements, adopted in
This Shareholders’ Meeting.
This communication is made pursuant to art. 9% and subsection
second of art. 10 of Law 18,045, by delegation of the Board of Directors, as it is a
essential fact of the Society.
