From our consideration,
I inform you that, at the Regular Meeting of the Board of Directors held on June 26,
January 2023, it was agreed to summon the Extraordinary Meeting of Shareholders of Aguas Nuevas
S.A., for February 20, 2023 at 9.00 a.m., at the offices of the Company,
located in Isidora Goyenechea 3600 floor 4, commune of Las Condes, with the purpose of
that the Commission pronounce itself on the following matters:
(1) Approve the subscription by the Company – or a company in which
has an equity interest in the operating contract and
Maintenance of a reverse osmosis desalination plant,
water transport and related pumping stations, substations of
electricity supply and high-voltage transmission lines, with a
design capacity of 840 l/s, and with an expansion potential to 1,956 l/s,
located in northern Chile, near the cities of Tocopilla and Calama,
awarded by Codelco to the consortium formed by Marubeni Corporation and
Transelec Holding Rentas Limitada, under a BOOT modality and for a term
20 years of operation;
(ii) Approve the granting by the Company of a personal guarantee,
to ensure compliance with the obligations of the Operator -Aguas del
Sol SpA- under the Operation and Maintenance Contract indicated in point
(i) above.
(iii) To broadly empower the Board of Directors of the Company to, within the framework of
the resolutions adopted by the Board, resolve all situations,
Modalities and details that may be submitted in relation to the agreements
to be adopted by the Board; and
(iv) Confer the necessary powers to executives and/or lawyers of the Company
to reduce the minutes of the Meeting to a public deed and to carry out the
agreements adopted in it.
This communication is made pursuant to art. 90 and subsection
second of art. 10 of Law 18.045 and in Section II, numeral 2.2 of the Norm of
Isidora Goyenechea 3600 – Floor 4
