From our consideration:
In compliance with the provisions of articles 9 and second paragraph of article 10 of
Law No. 18,045, on the Securities Market, and General Rule No. 30 of the
Commission for the Financial Market (“CMF”), being duly empowered for this purpose,
I inform you of the following as an Essential Fact of Agrosuper S.A. (“Agrosuper”
or the “Company”):
At the Company’s Ordinary Shareholders’ Meeting, held today, 18
April 2022, it was agreed, among other matters, the following:
a) Approve the Annual Report, the Balance Sheet, the Financial Statements and the report of the
external auditors of the Company, all of them referring to the year ended 31
December 2021.
b) Appoint PricewaterhouseCoopers Consultants, Auditors and Limited Company
as external auditors for the examination of the financial statements for the financial year 2022.
c) Designate the electronic newspaper El Líbero for the publications of the Society.
d) Distribute profits and distribute dividends for the year corresponding to the year
2021, for a total amount of US$203,591,500, to be paid with the balance of the dividend
mandatory minimum in the amount of US$39,537,750, and with an additional dividend with
charge to the aforementioned profits of US$164,053,750. This amount will be paid from
from April 25, 2022 to those shareholders who prove their status as such, until
24:00 hrs. of April 19, 2022.
The foregoing, without prejudice to the provisional dividend paid on September 14
of 2021, as reported by essential event dated September 3, 2021.
