to you as an Essential Fact of the Company, the following:
That on April 28, 2023, the Fifteenth Ordinary Shareholders’ Meeting of the
Administradora General de Fondos Sura S.A, in which the following was agreed:
1. The Annual Report, the Balance Sheet, the Financial Statements and the Auditors’ Report were approved.
External as of December 31, 2022.
2. The result of the year-distribution of profits was approved.
3. The Board of Directors was completely renewed, being appointed as directors: Pedro Orueta
Arregui, Pablo Sprenger Rochette, María Fernanda Magariños, Federico Suarez Mesa and Felipe
Trujillo Vargas.
4. It was unanimously approved to fix a monthly allowance for the directors.
5. Information on transactions carried out with related persons. In compliance with the
provided in Article 44 of Law No. 18.046, the President reported that in the course of the year,
