Ref.: SUMMONS TO ORDINARY SHAREHOLDERS’ MEETING.
Dear Sir or Madam,
In accordance with the provisions of article 9″ and second paragraph of article 10? of the Law
N? 18.045 on the Stock Market and being duly empowered to that effect, by
I hereby come to communicate to you as an essential fact relating to the Administrator
General de Fondos Security S.A :
In ordinary meeting of the Board of Directors of Administradora General de Fondos Security S.A
held on March 15, 2023, it was agreed to summon the shareholders to the Meeting
Ordinary for April 10, 2023 at 11:00 a.m.
The purpose of the Ordinary Shareholders’ Meeting will be to deal with the following matters:
1. Approval of the Annual Report, Balance Sheet and Financial Statements for the year ended 31
December 2022 and the report of the external auditors thereon
exercise.
2. Distribution of profits and distribution of dividends.
3. Election of the Board of Directors.
4. Information on the expenses of the Board of Directors during the fiscal year 2022.
5. Fixing of remuneration of the Directors for the year 2023.
6. Appointment of the Company’s External Auditors.
7. Information on transactions with related parties pursuant to the Law on
Corporations.
8. Designation of the journal in which the legal publications will be made.
9. In general, all matters that in accordance with the Law are specific to the Ordinary Meeting.
