Ref.: Communicates resolutions of the Ordinary Shareholders’ Meeting.
From our consideration,
Given that on April 28, 2022, the Ordinary Shareholders’ Meeting of
Administradora de Fondos de Pensiones ProVida S.A. (the “Company”), informed you of the agreements
adopted therein:
1. The Annual Report, Balance Sheet and Financial Statements for 2021 were approved and
knowledge of the report of the External Auditors.
2. It was agreed to distribute and pay a final dividend of ninety-two point five pesos
($92.5) per share, charged to earnings for the year ended December 31,
2021.
3. The Board of Directors was elected for a new statutory period. They were elected as Directors
Holders Andrés Merino Cangas, Jorge Carey Tagle and María Eugenia Wagner
Brizzi; and as Autonomous Directors, Mrs. María Soledad Arellano Schmidt with her
respective alternate, Mr. Roberto Méndez Torres; and Mr. Jorge Antonio Marshall Rivera
with his respective alternate, Mr. Osvaldo Puccio Huidobro.
4. It was agreed to maintain the monthly allowance for the full and alternate Directors, as well as for
the members of the various Committees of the Board of Directors, and the annual budget of
expenses for the Directors, Audit and Risk Committee.
5. The firm Deloitte Auditores y Consultores Limitada was appointed as external auditors for
this year.
6. The Report of the Directors, Audit and Risk Committee was presented.
7. The report on transactions between related parties referred to in the
Title XVI of Law 18,046 on Corporations.
8. The newspaper La Segunda was designated as a newspaper to publish the notices of summons to the Board
of Shareholders.
